Terms of Service

Effective date: October 27, 2026

These Terms are an agreement between Neopolis Global, Inc. (“Neopolis”, “we”, “us”) and you for your use of Relay at relayto.ai, including the web app and the MCP server (the “Service”). By signing in or using the Service you agree to these Terms and to our Privacy Policy. If you use Relay for an organization, you confirm you can bind it, and “you” includes it. A signed agreement with Neopolis takes precedence over these Terms where they conflict.

1. Eligibility and accounts

You must be at least 16 and allowed to use the Service under applicable law, including U.S. sanctions laws. Keep your sign-in and any agent you connect secure; you are responsible for what is done through your account and your connected agents.

2. How Relay works

You or your agent prepare a relay; nothing is shared until you approve it. A relay is shared with the people you name, and they may read it themselves or give it to their own AI agent. You can publish new versions, revoke a relay or delete it. Rules attached to a relay instruct the recipient’s agent, but third-party agents are outside our control and may not always follow them.

3. Your content

You keep ownership of what you put into Relay: relays, attachments, requests and replies (“Your Content”). You give us a worldwide, royalty-free licence to host, process, transmit and display Your Content only to provide, secure and support the Service, including delivering it to the people you share it with. You confirm you have the right to share Your Content with the recipients you choose, and that doing so does not break any confidentiality obligation, law or third party’s rights.

4. Content you receive

Use a relay shared with you only for the purpose it states and within its rules. Do not forward a relay or your reader link to others; ask the sender to share it instead. Relays can contain AI-generated material and may be inaccurate or out of date; check anything important with the sender.

5. AI output

Drafts and answers produced by AI models, whether ours or your agent’s, can be wrong or incomplete. Review drafts before you approve them; you are responsible for what you approve and share.

6. Acceptable use

You will not:

• relay content that is unlawful, infringing, harassing, deceptive, or that you have no right to share;
• use Relay to send spam or unsolicited bulk requests;
• put instructions in a relay meant to make a recipient’s agent act against its user;
• access relays you were not given, share reader links to get around access controls, or probe, scrape or disrupt the Service, its rate limits or its safety checks;
• reverse engineer the Service, except where the law allows it.

We may suspend or end access for violations.

7. Plans and fees

We may offer free and paid plans. Fees for any paid plan are shown before you agree to them.

8. Feedback and changes to the Service

You may send us feedback, and we may use it without obligation to you. Features labelled preview or beta may change or be removed. We may update the Service and will give reasonable notice of material changes that remove core features you rely on.

9. Ending use

You can stop using Relay and delete your account at any time from Account. We may suspend or terminate access for material breach of these Terms or where required by law. When an account is deleted, its relays stop being available to readers.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE UNINTERRUPTED, SECURE, ACCURATE OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE OR DATA. EXCEPT FOR YOUR BREACH OF SECTION 6, EACH PARTY’S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND US$100.

12. Indemnity

You will defend and indemnify Neopolis against third-party claims arising from Your Content or your breach of these Terms or the law.

13. Changes to these Terms

We will post updates here with a new effective date and give notice of material changes. Continuing to use Relay after they take effect means you accept them.

14. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes go to the state and federal courts in Santa Clara County, California.

15. General

These Terms are the whole agreement about self-serve use of Relay. You may not assign them without our consent; we may assign them in a merger, acquisition or sale of assets. If a provision is unenforceable, the rest stays in effect. Notices to you go to your account email; notices to us go to support@neopolis.ai.
